01Acceptance of terms

These Terms of Service ("Terms") govern your access to and use of www.ohexion.com and any related pages we operate (the "Site"), operated by Ohexion LLC, an Idaho limited liability company ("Ohexion," "we," "us," "our").

By visiting or using the Site, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated here by reference. If you don't agree, please don't use the Site. If you are using the Site on behalf of a company or other entity, you represent that you have authority to bind that entity to these Terms.

02About Ohexion and this Site

Ohexion LLC builds and operates software, AI automation, cloud infrastructure, cybersecurity, and creator-support systems. We develop our own products — including HolliBae, Protocol Ghost, and HolliBot — and take on engineering, infrastructure, and security work for outside clients.

This Site is informational. Descriptions of our services, capabilities, products, and service lines are provided for general information. They are not an offer, a quote, a warranty of any particular result, or a commitment to perform work, and they may change without notice.

03Inquiries create no professional relationship

Submitting the contact form, or emailing us, does not create a client, consulting, contractual, or confidential relationship between you and Ohexion LLC, and does not obligate us to respond or to take on any work.

A relationship with Ohexion begins only when we and you sign a written agreement (or you accept written terms we present for a specific product or engagement). Until then, please do not send confidential, proprietary, or sensitive information through the Site's contact form or by unencrypted email. We cannot treat anything sent to us before an agreement is in place as confidential — see Section 8.

Nothing on this Site is legal, financial, tax, or other professional advice, and nothing here should be relied on as a substitute for advice from a qualified professional in the relevant field.

04Services and client engagements

Any services we perform for you are governed by a separate written agreement — for example a statement of work, master services agreement, or order form — and not by these Terms. Where a separate agreement conflicts with these Terms, that agreement controls with respect to the services it covers.

Timelines, deliverables, pricing, acceptance criteria, intellectual property ownership in deliverables, confidentiality, and warranties for client work are all addressed in that separate agreement. Nothing on this Site alters or supplements it.

05Our products

HolliBae, Protocol Ghost, HolliBot, and any other product we operate each have their own terms, policies, and privacy notices where applicable. Your use of those products is governed by their terms — not these Terms, which cover only this Site. Descriptions of product features on this Site are summaries and may not reflect the current state of any product.

Where a product operates on a third-party platform (for example, HolliBot running inside Discord, or Twitch integrations), your use of that platform is also governed by the platform's own terms and policies.

06Paid plans and billing

This Site does not process payments. Where a paid plan is offered — such as HolliBot Pro or HolliBot Business — purchases are completed through our payment processor and are subject to the pricing, billing period, renewal, cancellation, and refund terms presented at checkout, together with the applicable product terms.

Prices and plan features shown on this Site are subject to change without notice, and nothing displayed here constitutes a binding offer to sell. Where a plan renews automatically, the terms presented at checkout will say so before you purchase.

07Intellectual property

The Ohexion name, the hexagon mark, our product names and branding, and all original text, graphics, layouts, code, and other content on the Site (collectively, the "Content") are owned by Ohexion LLC or used under license, and are protected by copyright, trademark, trade dress, and other intellectual property laws of the United States and other countries.

You may view the Site and share links to it for personal, non-commercial purposes. You may not reproduce, distribute, modify, create derivative works from, publicly display or perform, scrape, mine, or commercially exploit any Content without our prior written permission. No license or right is granted by implication, estoppel, or otherwise except as expressly stated here.

Third-party names and marks referenced on the Site are the property of their respective owners, and their use does not imply affiliation or endorsement.

08Your submissions and feedback

If you send us an inquiry, suggestion, idea, feature request, or other material through the Site ("Submissions"), you agree that, unless a signed agreement between us says otherwise:

Your Submission is not confidential and creates no obligation of secrecy on our part;
You grant us a non-exclusive, worldwide, royalty-free, perpetual, irrevocable, sublicensable license to use, reproduce, modify, and incorporate the Submission for any lawful business purpose, including improving our products and services;
We may already be working on something similar, and nothing in your Submission restricts our ability to do so; and
You are responsible for ensuring you have the right to send us the Submission, and that it doesn't infringe anyone's rights or violate any law or obligation you're under.

Please don't send us confidential information, trade secrets, personal data about other people, regulated data (such as health or payment card data), or anything you are contractually prohibited from disclosing.

09Acceptable use

You agree not to, in connection with the Site:

Use the Site for any unlawful purpose or in violation of any applicable law or regulation;
Scrape, crawl, or harvest data from the Site by automated means without our permission, or use the Site's content to train machine-learning models without our prior written consent;
Attempt to gain unauthorized access to the Site, its servers, its backend services, or any connected systems or data;
Probe, scan, or test the vulnerability of the Site or circumvent any security, authentication, or rate-limiting measure;
Interfere with or disrupt the Site's operation, or introduce malware, or transmit any harmful code;
Submit false, misleading, or automated contact form submissions, or use the contact form to send spam or unsolicited advertising;
Impersonate Ohexion or any person, or misrepresent your affiliation with us; or
Use the Site to harass, abuse, defame, or harm any other person.

We may investigate and take any action we consider appropriate for a suspected violation, including blocking access and reporting conduct to law enforcement.

10Third-party links and services

The Site links to third-party websites and platforms, including hollibae.com and protocolghost.com, and loads certain resources (such as web fonts) from third-party providers. Those services are operated independently, and your use of them is governed by their own terms and privacy policies.

We aren't responsible for the content, policies, availability, security, or practices of any third party, and linking to a service doesn't mean we endorse it. Our Privacy Policy describes which third-party providers are involved in operating this Site.

11Copyright complaints

We respect intellectual property rights. If you believe material on the Site infringes a copyright you own or control, please send a written notice to contact@ohexion.com that includes the elements described in the Digital Millennium Copyright Act:

17 U.S.C. § 512(c)(3)

A physical or electronic signature of the copyright owner or a person authorized to act on their behalf;
Identification of the copyrighted work claimed to have been infringed;
Identification of the material claimed to be infringing and information reasonably sufficient for us to locate it;
Your contact information, including address, telephone number, and email address;
A statement that you have a good-faith belief the use is not authorized by the copyright owner, its agent, or the law; and
A statement, made under penalty of perjury, that the information in the notice is accurate and that you are authorized to act on the owner's behalf.

We may remove or disable access to material we believe in good faith to be infringing, and may terminate access for repeat infringers in appropriate circumstances.

12Disclaimer of warranties

The Site and all Content are provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory. To the fullest extent permitted by law, Ohexion LLC disclaims all implied warranties, including the implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, and any warranties arising from course of dealing or usage of trade.

We don't warrant that the Site will be uninterrupted, timely, secure, error-free, or free of harmful components, or that any information on the Site is accurate, complete, or current. Some jurisdictions don't allow the exclusion of certain warranties, so some of these exclusions may not apply to you.

13Limitation of liability

To the fullest extent permitted by law, Ohexion LLC and its members, managers, officers, employees, and contractors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, business, or goodwill, arising out of or relating to your use of — or inability to use — the Site, whether based in contract, tort (including negligence), strict liability, or any other legal theory, and even if we have been advised of the possibility of such damages.

To the fullest extent permitted by law, our total aggregate liability for all claims arising out of or relating to these Terms or the Site will not exceed the greater of (a) the total amount you paid us, if any, in the twelve months before the event giving rise to the claim, or (b) one hundred U.S. dollars (US $100).

Some jurisdictions don't allow the exclusion or limitation of certain damages, so parts of this section may not apply to you. Nothing in these Terms limits liability that cannot be limited under applicable law, including liability for fraud or for death or personal injury caused by negligence.

14Indemnification

You agree to indemnify, defend, and hold harmless Ohexion LLC and its members, managers, officers, employees, and contractors from and against any claims, losses, damages, liabilities, judgments, and expenses (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms, your misuse of the Site, your Submissions, or your violation of any law or of any third party's rights. We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, at your expense.

15Governing law and disputes

These Terms and any dispute arising out of or relating to them or the Site are governed by the laws of the State of Idaho, United States, without regard to its conflict-of-law principles, and excluding the United Nations Convention on Contracts for the International Sale of Goods.

Informal resolution first

Before filing a claim, you agree to try to resolve the dispute informally by emailing contact@ohexion.com with a description of the dispute and the relief you're seeking. We'll try to resolve it with you for 30 days from that email before either of us starts a formal proceeding.

Venue

If we can't resolve it informally, you and Ohexion agree to the exclusive jurisdiction and venue of the state and federal courts located in Ada County, Idaho, and each party waives any objection to that venue on grounds of inconvenient forum. Either party may still seek injunctive or equitable relief in any court of competent jurisdiction to protect its intellectual property or confidential information.

Any claim arising out of or relating to these Terms or the Site must be brought within one (1) year after the claim arose, or it is permanently barred, except where a longer period is required by applicable law.

16Electronic communications

When you use the Site or send us email, you are communicating with us electronically, and you consent to receive communications from us electronically. You agree that electronic notices, agreements, and records satisfy any legal requirement that such communications be in writing, consistent with the federal E-SIGN Act.

If we ever send commercial email, we will comply with the CAN-SPAM Act and include a working means of opting out.

17General provisions

Entire agreement

These Terms, together with the Privacy Policy, are the entire agreement between you and Ohexion regarding the Site, and supersede any prior understandings on that subject.

Severability

If any provision is held unenforceable, it will be limited or severed to the minimum extent necessary, and the remaining provisions stay in full force.

No waiver

Our failure to enforce any provision is not a waiver of our right to enforce it later.

Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction, including in connection with a merger, acquisition, or sale of assets.

Force majeure

We are not liable for any delay or failure to perform caused by circumstances beyond our reasonable control, including acts of God, outages of third-party infrastructure or hosting providers, network failures, labor disputes, or governmental action.

No third-party beneficiaries

These Terms don't create rights for anyone other than you and Ohexion LLC.

Headings

Section headings are for convenience only and don't affect interpretation.

18Changes to these terms

We may update these Terms from time to time — for example, as products or paid plans change. We'll update the "Last updated" date at the top of this page when we do, and material changes will be reflected clearly here. Continuing to use the Site after changes are posted means you accept the revised Terms. If you don't agree to a change, stop using the Site.
